This is what BW reported on that issue:

"According to the agreement signed Nov. 14, Identix will acquire all outstanding Identicator Technology shares in exchange for 5,050,000 shares of Identix common stock; the Identix shares to be issued in the transaction are subject to certain lock-up and escrow provisions."
