Betty et al,

I can see that the writing is on the wall for this company's expertise and patented technology when co's. like Lucent & Intel want to work with them. Both Intel & Lucent are working very hard to establish major positions on the Internet with a variety of applications which will require NCI's expertise. We've past the stage of 'we have a great technology but who wants it and who will pay for it'. Intel and Lucent have been shown what we can do and they have seen Lanier's product and confirmed that we're for real and that they can proudly send their customers to us. That decision of customer referral by I & L has already been made.

IMO, what these co's. (I&L) will want is a piece of NCI not a 'swallow up we own you' position which just invites FTC & Justice Dept. scrutiny. We have no more pieces of ownership (shares) to give them. Betty, as you know, authorizing shares and issuing them are two different events. Authorized but unissued shares have no effect on shareholder dilution or the tally of revenue, income/loss per share etc.. There is also a great likelihood that any issuance of additional shares will not be at these ridiculously low prices.

Lucent and Intel are not lenders. They will not give us money for IOU's. No other conventional lender will give us money until we have evidence of cash flow. As shareholders, we essentially handicap management from making decisions, which are clearly in shareholder's interests, by not increasing the number of shares held in our treasury.

If any of you still believe co's. management is only looking out for their interests and not ours, reread J. Claspill's on-site visit to NCI. Better yet, try to organize a group in the area and set up an on-site visit for yourselves.

If any of you still distrust management, I would suggest you never, never own any stock in which there is lack of faith or distrust in management. That belief state usually creates both emotional and financial losses. It would be better to either get more facts to clarify or eliminate those feelings or move on to another investment.
