These reg s to off-shore, are sort of desperate - worst kind of dilution. Companies does that as you US shareholders are so damn focus on company issuing more shares to the market - When company does that, they get the market-price in their cashbook - when its being done via off shore the have to sell at discount and most of the times they do not get the money until foreign investor have sold it.

IMVHO it should not be allowed to raise cash like this - it is like placing us as investors in a secondary class having to pay full price and pay in 3 days.

Issuing shares to market or doing a reverse does not dilute as much as the common US investor seem to think - Cash goes in / More shares can be issued / more cash can come in - Raising fund securing that a company's mission can be accomplished - So the issue is: make sure to invest in companies with a mission that can be trusted to come true.
