I interpreted the term "integrated" to mean an internal modem
rather than a PCMCIA card or an external modem. It would seem
that "integrated" might also include being built on the mother
board which I hadn't thought of...

XIRC had an announcement regarding support for Windows CE. I'm
not sure if the support was via a PCMCIA card (unlikely?) or
an internal modem. In any case, I think XIRC will remain to
be a competitive OEM and not lose market share quickly by being
revolutionalized out of the market.

I won't be surprised if INTC bought out XIRC. INTC already
has an equity stake in the company if I recall correctly.
However, I don't see INTC buying up XIRC any time soon only because
I don't know INTC to be a company that grows by buying companies
(unlike CSCO). Synergies can be gained between INTC and XIRC -
they are both in the Ethernet market.

I think the downgrades will temporarily cause the price to drop.
Eventually, the price should rise because of next quarter's
earnings that I expect to be good.
