as Steve said it is the registration of certain classes of securities pursuant to section 12(g)...furthermore pursuant to the October 13 filing of the original S-1 "...the registration statement becomes effective on the twentieth day after its filing with the S.E.C., unless it is the subject of a refusal or stop order issued by the S.E.C.... or becomes effective sooner by an S.E.C. acceleration order...Usually, several amendments will be required by the S.E.C. before it declares the registration statement effective. An amendment starts the twenty-day waiting period running anew. However, the S.E.C. normally accelerates the effective date as soon as all of the problems with the registration statement have been worked out so that the issuance is not adversely affected by a delay (see supra, 185)..."

...in the event there is no said 'acceleration' or additional amendments required by the S.E.C. an additional twenty days [from today's 8-A12G filing] would/could put said (NASDAQ:MKTW) S-1 registration statement effective on December 15, 1998...
