The company has negotiated a non-brokered private placement of 500,000 units
at 15 cents. Each unit will consist of one share and one warrant entitling the holder
to purchase one additional share at 15 cents in the first year and 17 cents in the
second. A finder's fee, if applicable, will be paid in connection with this offering.
