WasteMasters to Acquire Transfer Station in the New York City Borough of Queens
DALLAS, Nov. 6 /PRNewswire/ -- WasteMasters, Inc. (Nasdaq: WAST - news) today announced that it has signed a definitive agreement to acquire Crown Recycling Ltd., F.A. Carting Corp. and associated real property assets located in the Borough of Queens, Jamaica, New York. The acquisition would include equipment, routes, accounts, an approximately 2-acre tract of real property, and associated permits for operation of a transfer station. The transfer station is presently permitted for 400 tons per day of municipal solid waste (with an expansion application pending for an additional 200 tons per day) and 2,000 yard per day of construction and demolition debris. At present disposal rates this acquisition is projected to add an additional $23,000,000 million in gross annual revenues to WasteMasters. The acquisition is scheduled to close during the first quarter of 1999 and is subject to customary due diligence and approval by the New York City Trade Waste Commission, and other regulatory bodies. The terms of the transactions include cash, the assumption of certain debt, and the issuance of restricted Rule 144 WasteMasters common stock to certain sellers.
