Claude Resources Announces Flow-Through Private Placement
SASKATOON, SK, Dec. 1 /CNW/ - Claude Resources Inc. is pleased to
announce that it has engaged Canaccord Capital Corporation to act as exclusive
agent of the Corporation to sell on a best efforts basis, by way of
flow-through private placement, a maximum of $1,500,000 in common shares or
special warrants.
The offering will consist of either an issuance of up to 909,091 common
shares at $1.65 per share or the issuance of up to 909,091 special warrants at
$1.65 per special warrant, with each special warrant entitling the holder to
subscribe for one (1) common share of the Corporation at no additional cost to
the holder. The Corporation has agreed to incur Canadian Exploration
Expenditures in an amount equivalent to the aggregate proceeds realized from
the offering, with such expenditures to be incurred on or before December 31,
1999.
The closing of the offering is scheduled to occur on or about December 4,
1998 and is subject to standard closing conditions including the receipt of
all necessary regulatory approvals.
