One more issue before I forget.
This not meant as an insult but just my own opinion.

Last year the share holders were successful in voting down the stock incentive program. (They may have been able to get it passed later on.). Then recently there was a discussion about employee turnover. And that they may have lost key developers. My point is that the actions we take like voting down proposals may have affects that hurt later on.
To vote down as some kind of power play has its risks.

I was under the impression that the preferred stock was for funding purposes. Shareholder rights plans
to prevent others from taking over the company without a fair price; is an all together different kind of proposal.
