Mon 30 Nov 98 Acquisition
The VSE has accepted for filing an agreement dated Sept. 10, 1998 between
New Claymore Resources and Buffalo Diamonds (a private company; the
insiders are: Chet Idziszek, Daniel B. Matthews, Wallace Nesbitt, Raymond
Haimila and T. Yoshida) whereby New Claymore has granted Buffalo an option
to acquire a 50 per cent interest in the Varlaam prospect in Alberta. New
Claymore acquired the property by staking. In consideration, Buffalo will
pay $50,000 ($10,000 paid) and incur exploration expenditures of not less
than $1,000,000 by Sept. 10, 2000 ($400,000 in the first year) and issue a
total of 200,000 shares; 50,000 shares upon Buffalo being listed on a
recognized stock exchange, 50,000 shares upon the earlier of completion of
the first phase of exploration or the first anniversary and 100,000 shares
upon the earlier to completion of the second phase of exploration or the
second anniversary. Upon exercise of the first option, Buffalo will have
the option to acquire an additional 10 per cent interest by incurring not
less than $500,000 on or before the second anniversary from the date
Buffalo exercises the first option and upon exercise of the second option
Buffalo will have the option to acquire an additional 10 per cent interest
by incurring not less than $500,000 on or before the second anniversary
from the date Buffalo exercises the second option.
