DISTRIBUTION AGREEMENT
SAN JOSE, CA, July 22, 1998: RFID Systems Corporation (the "Company") (OTC:BB: RFID) announced
today that it has signed a contract with Madison Group USA, Inc. ('MGUSA") to distribute its products and
technology in the Arabian Gulf and the Middle East.

Concurrently, MGSUA has executed an agreement with Spectrum-Arabieh Corporation (OTC:BB:SPUM) for
sales in the Kingdom of Saudi Arabia and other countries in the Arabian Gulf.

Mr. Sam Higgins, CEO and President, MGUSA, commented: "We are confident we can deliver minimum sales
of $70 million over the first twenty-one months as required in our Agreement. We look forward to working
with RFID Systems to establish a thriving business in this security conscious region." In addition to certain
sales requirements, MGUSA is also required to provide all of the Company's working capital requirements to
implement sales orders obtained by the Company under the Agreement.

Computer and Network Security Product Line

RFID Systems has integrated its proven radio frequency identifcation technology with security software to
produce an easy-to-use, easy-to-install, modular Authentication and Identification system. Identification of the
user to the computer is the cornerstone to all security measures in force today. Simply by wearing an identity
card, similar to those used in most corporations today, the computer is able to uniquely identify the user when
he comes within 3-4 feet of range. Communication between user and computer uses radio frequency, which
does not require contact or line of sight. The ID card can therefore be safely contained in the user's purse or
wallet. If higher levels of security are required, levels of identification can be selected to include biometric
information such as fingerprints or retinal scans.

RFID Systems' products are designed to run on Microsoft r Windows r -based personal computer systems used
in corporate installations, where the need for security already exists, and private based systems where the need
for security is increasing because of the growth of the Internet.

Passport/Border Tracking and Security System

Among the challenges faced by governments and financial institutions is the need to identify clients in a secure,
efficient and cost-effective way. Whether it is to guard against the issuance of duplicate identification cards to an
individual user, to verify that user quickly and without significant facilities costs, or simply to guard against
counterfeit identification, RFID Systems offers a versatile and cost-effective solution.

Our passport and border control system combines RFID and biometric imaging technologies to digitally encode
fingerprints on to a microchip, thereby providing positive identification of the user.

Registration - A cardholder's fingerprint, photograph and personal details are recorded to create an RFID
identity card. The card is programmed through an RF reader built into the PC. Proprietary compression reduces
the photo to 500 bytes enabling use of low cost cards.

Identification - The cardholder's photograph appears on the screen as he or she passes the control point.

Authentication - To authenticate a cardholder, his or her fingerprint can be checked with a fingerprint sensor and
compared to the record contained in the card. Levels of security can be set to match variable feature count
criteria.
