Be it shares or cash the acquiring company paid for the shares of the acquired company.In your example they still paid. If Bii goes this route they either take shares or cash from treasury(dilution of assets) or ownership sells/gives,to purchase "shell" for all shareholders.Ownership unlikely to give up any of their small position 12% IMO.Don't forget about any liabilities the acquired company may have disclosed or otherwise, name changes don't remove obligations.Bii would still be required to file with SEC in any event. If it was a picture perfect filing 3 months minimum.Let's not forget there is still requirements for continuing companies to satisfy as well.If the company is solid and the future bright what's the hurry?
