Bosco,
the cushion here is corporate governance. Especially in the Netherlands, the UK and Germany, a company may be nasty to other companies (like AAN was to DAF - which was BTW partly owned by Dutch government - makes it even easier for civic-society freaks like me to invest in such banks <g>) but playing tricks on your own shareholders gets you into a lot of trouble. Bad analyst ratings, board pressure from the emerging number of outside directors (getting more and more popular in Europe,too). While getting most profit out of a distressed security clearly IS in management interest, taking advantage of a management position as to owners (classic agent-principal conflict is either shortsighted, oldfashioned or just dumb or alll traits summed together..
