I called MBHC at 888-226-5371 on 7 Dec 98 and spoke with James Carr, Chairman, as John D'Onofrio, CEO/President was out of the office. Jim indicated that the latest share count was about 14.7 million shares recently obtained from their transfer agent and the $19 million asset was intact and the company still wished to liquify a portion or all of the company's position in this fund. Current shareholder count was 1362 as of 2 Dec. Insiders own approximately 2.2 million shares and this will be adjusted from Ray's shares.

Jim also indicated that MBHC intended to have a conference call sometime after the new year. He indicated that the escrow account was languishing and either it would move forward or not but the company would not continue to use it for hype benefit.

Jim said more information will be forthcoming related to the NICA agreement with details of the agreement once the deal is signed. Jim further indicated that financial data would be released after the NICA agreement had been completed. Jim also indicated the company would release more information concerning former management in perhaps 3 or 4 weeks.

Jim also indicated that the company planned another news release within the next couple of weeks. My impression is that new management plans to move the company forward without any hype but release shareholder information when it becomes available.
