Bill, regarding insurance companies, I believe it is a bit more complicated than that. Directors have insurance policies but, as you might imagine, insurance companies arent really willing to write policies that will cover liabilities arising from securities law violations... depending on the type of policies insurance companies will be closely involved in settlement discussions. But rest assured, the settlement will involve most, if not all of the cash coming from company coffers. Dirctors and management will, of course, prefer to negotiate settlements involving the company paying out cash if it helps them avoid personal liabilities or fights over insurance coverage.
