MALL without its UBID subsidiary is going to require some restructuring, and that means they need cash...

Dodger, actually the contrary is true. MALL will receive some cash from the UBID IPO in the form of debt payment. In addition, MALL will no longer have to fund UBID operations which will further enhance MALL's balance sheet. As far as restructuring MALL, I doubt there's anything of significance that requires restructuring. UBID has been operating as a separate entity with its own management team, staff, and infrastructure. There is no overlap in their business models and little or on overlap in personnel duties.
