Mr. Randy Jackson reports
In reference to news in Stockwatch Nov. 16, 1998, the company is in the process of negotiating for a project that would include the recording of an album by Modern Records president Randy Jackson, and his brothers, also known as The Jacksons.
Although the deal is still under negotiations, Modern Records is in the process of making financial arrangements as referred to in the Nov. 16 news release. In addition, the company has agreed in principle to a private placement of subordinated notes for up to $3.5-million (U.S.) at a conversion price of $2.00 (U.S.). The notes will bear 5 per cent interest and will mature on Nov. 15, 2003. The company has the right after Nov. 15, 1999 to require the conversion of the notes if the common stock trades for 20 or 30 consecutive trading days at a price equal or greater than $3.00 (U.S.) and the underlying common stock issuable upon conversion of the notes can be publicly sold. The completion of the private placement is subject to definitive documentation with respect to the private placement, regulatory approval and the company finalizing an agreement with the Jacksons. A finder's fee of up to 5 per cent of the net proceeds will be paid from the private placement.
