De facto is a legal 'status' which can have different meanings under particular circumstances, depending on how it's used....most times, and I believe in this case as well, it means they have an 'agreement' that does exist with the holders to hold off on any action until a given date, but it has not been formally/legally adopted.

DISCLAIMER: This is just my own paralegal interpretation, of course.
