The shareholders rights plan is a natural extension of events stemming from Microsoft's intention of disposing of 10% of the company's stock. Depending on the triggering level, RealNetworks can guarantee that Microsoft has to sell the stock in smaller blocks (realizing less value) and that it won't have to worry about someone else scooping up all the shares.
