Consolidation: Mattel To Buy The Learning Company.

"...Mattel Inc. (NYSE:MAT - news) will buy The Learning Company Inc., a giant computer software manufacturer, for $3.8 billion even as the world's biggest toymaker warned its earnings will be lower than expected.

The Learning Company deal is latest example of Mattel's efforts to build its business beyond traditional Barbie dolls and Hot Wheels cars as children look for more high-tech products during playtime.

With the deal, Mattel is acquiring the second-largest consumer software company after Microsoft (Nasdaq:MSFT - news) and gaining such well-known software titles as Carmen Sandiego, National Geographic, American (NYSE:AM - news) Greetings, The Print Shop, Riven and Myst.

''We have begun the process of transforming Mattel from a toy company to a global children's products company,'' said Jill Barad, Mattel's chairwoman and chief executive. ''As a result of this merger, we will achieve our goal of building a $1 billion interactive software business..."
