If you are wondering at the recent (last week) slide in the stock price, wonder no longer. I received in the mail today the audited financials for year ending June, 1998. I sold my small position last Monday for tax purposes @.22, and thought I might get back in later. Will have to see...

For year ending June 30, 1998:

5.3 Mil shares issued from 10/97-2/98, which raised $834,399 at an average price of $.14-$.21, total outstanding now 20.7 mil, loss of $.06 per weighted average (vs .07 in 97 and .13 in 96).

QSTI had to pay NY State 20K in OCT98 for some type of securities wrongdoing (not explained) and can't sell stock in NY without filings with Attorney General.

The MGMT report posted by Greenie and Proxy voting materials were also included in the mailings.

The annual stockholders meeting is to be held 12/29. You can vote by telephone 18004548683 of via internet at www.proxyvote.com, although I'm sure you need to get your control number to do so.

The usual statements about the company being able to continue as a going concern are included.

Happy Holidays,

Rick
