If one is not an investment advisor (state- or SEC-regulated), what, if anything, regulates that person's behavior?

What, for example, is the difference between Tokyo Mex and a private citizen expressing an opinion?

What, for example, is the difference between Tokyo Mex and an American Express agent suggesting American Express mutual funds?
