Re: Communications

Both Ed and Steve seemed very sensitive to investor concern over the lack of company provided communications. They are both "chomping at the bit" to tell the Command story. However, they are still being harnessed by the SEC quiet period. Command will remain under SEC "quiet period" rules until they receive notification from the SEC of an effective registration of the shares registered in the amended prospect filing of 12/11/98. The normal response period for the SEC is within 30 days.....If the SEC accepts the registration without the need for any changes,the quiet period will then be lifted.... There does exist the possibility that the SEC will not accept the registration statement as is, and may send it back to Command with their comments. This would necessitate another amended filing on the part of Command, thus starting over again the 30 day approval process from the date of the amended filing.

Steve expressed exasperation over the length of the process, but felt reasonably confident that the latest filing will be approved.

Once the quiet period is over, communications will be normalized. Based on my conversations with Steve, it is my conclusion that there will likely be a PR campaign to bring the investing community up to speed on the business of Command.

Re: Staffing

As of 9/30 Command had a total of 464 employees (313 US/151 India) as well as a total of 72 non-employee sub-contractors.

No additional hiring is currently taking place in India. Staff located at the Bangalore facility is yet to be fully utilized. Full utilization of the Bangalore facility remains a top priority.

Staffing in the US is closely linked to specific projects as well as staff augmentation requirements of Command's larger customers.
I was unable to determine the total employee count as of 12/18. However, I was able to determine that there have been some recent reductions to SG&A office personnel due to operational changes and efficiencies improvements.
