Ram, According to Command, they have not communicated with analysts any information that would result in realistic projections of future earnings growth....including Q4/98. Current analyst estimates are thus without foundational substance and should not be relied upon.


What we know for sure:

Earning per share for the 9 months ended 9/30/98 is .02


Command will be taking a charge in the Q4/98 reflecting the cost of the tentative settlement agreement,including interest,legal and other costs associated with the litigation.

It is the intent of Command to charge all costs related to the settlement including estimated future costs and expenses into the 4th qtr.....Thus 1999 earnings will not be clouded or diluted with any settlement related charges.

Based on an exposure of 1.65 million plus interest and other associated expenses, the one time charge to earnings should fall in somewhere in the range of .24 to .27 a share.

Although Command has provided no guidance as to Q4 earnings estimates from operations I would not be too optimistic that they will be much better then Q2 & Q3... Based on the knowledge that as of 12/18/98 the Bangalore facility was still under utilized, coupled with the knowledge that staffing reductions in SG&A were undertaken relatively recently it is my expectation that earnings from operations in Q4 will continue to be flat.

After discussing the tentative settlement agreement, Ed commented that it is now time to make things right with the rest of the shareholders. From my discussions with both Ed and Steve I was firmly left with the impression that a major focus of attention for 1999 will be improving shareholder value.
