Cabot, Richards & Reed, Inc. On January 15, 1996 the
Company's shareholders consented to an Agreement and Plan of Reorganization with Cabot in which the
Company acquired all the issued and outstanding stock of Cabot in
exchange for 11,200,000 shares of the Company s common stock.
