Octel to buy Centigram (CGRM) for $20.00 a share

I have heard of a talk inside Octel that that are planning to buy Centigram communications for $20.00 a share. Can anyone look into this. Centigram is an excellent company with unique product with their patented TRUE SPEECH PRODUCT. The stock's book value is $12.00 a share, and its is trading about $12.50 only. I will look into this and buy.
