Sales of substantial amounts of the Company's Common Stock in the public market after any conversion of the 8% Convertible Debentures into shares of the Company's Common Stock and any REGISTRATION OF SUCH SHARES could adversely affect prevailing market prices for the Common Stock. Such shares of Common Stock will be freely tradeable without restriction in the public market. As a consequence, the ability of the Company to raise any additional financing which may be needed by the Company or the ability to raise such additional financing on terms acceptable to the Company may be adversely affected.
