Normally, you just walk into the room and nobody asks you for anything. If you want to be recognized as a voter, there is a table at the door where you can register and declare the number of shares you own (I would think the proxy would be satisfactory evidence of your share ownership). Personally, I never bother recording the number of shares I own because, unless there is an organized proxy fight, the number of shares you or I own would not make any difference in the vote...
Picking numbers from the air, I would say the insiders would control at least 15 million shares, so, in the absence of a proxy fight, whatever they decide, goes.
Just my opinion.
