judge....

Have you listened to the audio conference call? I relistened again and tried to take some notes for those who don't have time to load the most recent release of Real Player....I love that live jazz audio streaming station Real Player offers as a preset audio music station... anyhow here are my notes:

* RDI-Marketing was formed in July of 1998 as a merger with a shell

*They are presently a developmental stage company that is currently (first quarter of '99) evolving to an operational stage player....

* They expect to become the Nations largest acquiror and consolidator of the fragmented 150 private wholesale buying clubs through-out the country. They will commence an E-Commerce Internet Launch sometime in the second quarter of this year. Their main emphasis is to form a private wholesale buying club for Internet/Web TV users coupled with about 100 physical locations through-out the U.S.

*The wholesale buying club industry has two distinct segments. One is the typical public wholesale club; ie., Costco, SAMS, etc. and the second segment being a private wholesale club type. The former has over a $100 billion market while the later consists of approximately 150 fragmented operations and enjoys about an $8 billion market. RDIM will attempt to consolidate the smaller sub-set of the private wholesale market. For reference... Costco is a major player in the former group and with 246 physical locations has a market cap of $50 Billion dollars and is larger than Microsoft... BTW both out of Washington state

*John Folger is the President and visionary of RDIM. His past expertise is as a joint venture partner with the high technology group

*Eric Bottman is also a manger and has strategic planning expertise with an emphasis on mergers and acquisitions

*Anne Jameson is on board as is Alan Belle. Ms. Jameson was with ITT Hartford and as such will have input into that area. Alan Belle's credentials are as a trainer of technology.

*Alfred Warner is a noted engineer and architect of Internet backbone systems. He has been instrumental in the design and formulation of Satchi and Satchi's (advertising firm) system as well as PC Flowers, CompuCard and to some extent some portion of Visa

* RDIM expects to become the major player in private wholesale clubs and is currently doing DD on several acquistion candidates they have been in talks with. Their original intent is to immediately acquire several turn-key and profitable players (primarily in the south and west). These expected acquisitions are supposedly able to bring $30 in revenues to the company this year.Three Letters of Intent are signed and the deals are expected to come to fruition within the first half of this calendar year.

*One of these acquired companies brings with it the expertise of several ex-Sear and Roebuck Managers with an emphasis on purchasing and the purchasing management skillset. These players are expected to provide the inroads to many manufacturers who are expected to join the already 1500 manufacturers under RDIM's umbrella

*RDIM expects to generate revenues from three areas. They are; initial membership fees for the ability of the private members to buy from manufacturers at truly wholesale prices. The second is the handling charge for acting as the laison between manufacturer and purchaser. The third is from the renewal fee charged to members.

*RDIM expects (as previously mentioned) about 100 physical locations to bolster the Internet and Web TV areas. All three mediums will offer information and stats on thousands of currently available househould items from over 1500 manufacturers. All products will be digitized (in Singapore at a substantial cost savings versus the U.S.) and the website will provide a multitude of comparable items.... not just the selected group that traditional wholesale clubs buy as a result of discontinuations, close-outs, etc.

*RDIM will use EDI (Electronic Data Interphase) technology to expedite and maintain direct links with their physical locations and manufacturers

*The demo website is expected to be up this month as 60% of the hardware is installed... with the final completion in May or June of '99

*RDIM expects to focus their concentration and efforts on offering to their private customers the best deals which are congruous with psychographic information that will be provided by the customer. Data warehousing will kick in and send Email, fax, or snail-mail to the customer notifying them of considerable savings from mfgrs. on items that the club member expects to purchase at varying defined intervals. All types of goods from tires to cars to furniture to rugs and tile and appliances will be available. The club member will be able to research from several competitiors model lines directly through the Internet....Web TV.... or the expected 100 physical 6,000 -10,000 sq. foot showrooms through out the country.

* RDIM expects to generate well over $100 MM in revenues by the second year of operations (if not earlier)

*Currently a private placement is in process and subsequently there will be a SB-2 follow up offering. The private placement should provide needed cash for the expected acquisitions which will allow commencement of the initial stages of the previously mentioned private wholesale E-commerce business model

* RDIM also expects to providenative written Asian websites to 12 various countries in southeast Asia.

* The developing Asian Navigational site is currently being contacted by numerous interested parties attempting to provide goods and services through the developed RDIM (primarily owned) conduit.

*After formulation of the private wholesale club the company is expected to provide the conduit for EOM purchasing agents to utilize the backbone of their system (and EDI with other manufacturers) to fascillitate the purchase of raw and finished materials for various EOMs

*RDIM expects to provide to all members any household item. All items will be new current inventory and can be drop-shipped to 90% of the country.

*RDIM analogizes their system to the Century 21 reverse franchise operations which forever changed the complexion of the real estate industry.

*RDIM suggests they are looking into a half a dozen pre-existing names already registered with Internic, that are currently more in-line with RDIM's expected website activities.

*RDIM states they are talks with Microsoft (the licensor) of the Web TV format that RDIM expects to use in conjunction with their web-site. RDIM states they are in talks with the powers that be at POWER X which I believe provides the ability to offer group insurance or medical rates to club-members

*RDIM suggests (I believe) they are expecting 1st level funding in 45 days for the acquistion of PCN. (not too sure on that point as my notes are scribbled) perhaps someone can elaborate on this point

*RDIM suggests their core mission is to develop the infrastructure for E-commerce which will focus on the private buying club.... and then will concentrate attentions on developing the potential to become a provider for purchasing agents in much the same way that The Thomas Registry is currently offered

Having watched the likes of Amazon.Com, OnSale, Ubid and the like... I hope that RDIM (or whatever its new name will evolve to) may perhaps become the next vehicle that accomplishes half of what it suggests it intends on accomplishing. I can envision that someday the purchase of goods and services will eventually evolve to the point that RDIM suggests their intended business model defines. Whether RDIM will be the one to clearly set that change in motion is another thing. As with all BB stocks and especially with all those claiming E-Commerce capability.... (let alone developmental and non-reporting) ...one has to invest what one can fully expect to kiss good-bye.... if indeed they fall short or I have not had the vision to see through their candy coating then shame on me. But I also know this.... along with the HUGE risk that early investors endure at the developmental stage of any company with a viable business plan..... the potential for HUGE rewards also exists if the management team stays focussed. Call me a dreamer or a wishful thinker but I believe and hope that RDIM will evolve into a significant player and perhaps receive a footnote in history as being the first Ecommerce (private) wholesale club for the masses.... both U.S. and Asian.

It has been said that the 19th century was the time when Great Britian set the world on fire. The 20th century certainly belongs to the U.S. for its contributions toward freedom, space travel, etc. The 21st century is supposedly earmarked for the Asian culture and economy.

RDIM certainly knows how to capture my attention by their intended strategy for that area. I hope that RDIM can transcend the cultural differences between the US and Asian markets down the road. First things first....looking forward to a kick-but beta web-site within about a week and a half.
