I had a very encouraging telephone conversation this morning with
Dennis Bowers, CEO of National Health and Safety Corp. Mr. Bowers
is very encouraged by his association with PanAmerican Bancorp and
said negotiations have been going very well.

He feels that PanAmerican Bancorp is setting itself up as a giant
in the Financial Services area with one of its specialties in the
medical field. PanAmerican Bancorp is starting new programs in
financing medical receivables and providing medical lines of credit.
Those will be a couple of the functions in the POWERx program -
financing the $5,000 line of credit available and the medical receiva-
bles.

A quote from Mr. Bowers, "PanAmerican Bancorp has a good business
plan and I like their leadership." He told me that PanAmerican
Bancorp is currently in the process of having each of its divisions
audited for the period ending December 31, 1998 in order to have
audited financial statements for that period.

NHLT has a network of 370,000 doctors which is 72% of the total
in the country. He is excited about PanAmerican's participation in
this gigantic program. Mr. Bowers commented on the fact that he
views the Patient Alliance program as another large step for the
company. The new software products being developed by PanAmerican
Healthcorp, such as Electronic Superbill, will be marketed through
this extensive network of health care providers.
