That is correct.

OTC is just that - shares that trade "over the counter" - e.g. not through any exchange.

For historical reasons, NASDAQ and the NASDAQ-BB are sometimes also referred to as OTC, since they grew out of the OTC market.

NASDAQ is closer to an exchange, though, technically, the shares still trade OTC. (From dealer to dealer.) OTC-BB is like an automated pink sheets, because the BB has no involvement in actually executing trades. NASDAQ facilities trades, though the trades still "technically" are OTC.
