to Develop Internet Enabled Financial
Management Information Technology

TORONTO, ONT. November 23, 1998: Oriole Systems Inc. (VSE-OOL) announced today that its acquisition of RS2000
Systems Inc., of Bedford, Nova Scotia has been completed subject to anticipated Board and Regulatory approval.

Oriole, through its wholly owned subsidiary, DYAD Systems Inc., is a Development Partner within IBM's much heralded
SanFrancisco Project. The company is adapting its PowerTouch FM Financial Management Information Software to operate
within the SanFrancisco framework and plans to shift much of the development activity to the Halifax area office. Oriole is
optimistic that a beta test partner will soon be announced, opening the door to an Oriole/IBM co-marketing initiative to large
business and government organizations.

Al Gerenser, Oriole's founder stated. ”We are reluctant to project revenues from the IBM SanFrancisco initiatives, but the
potential is staggering. We are positioned at the leading edge of new development within the exploding world of Internet
technology. IBM's SanFrancisco architecture is a revolutionary web enabling concept that will impact all future application
developments, allowing even a small company like Oriole to be a player in the major leagues”.

A Multi-Billion Dollar Market: Enterprise-wide software alone is a $10 billion dollar market dominated by four companies: SAP,

lucrative area could triple to $30 billion by 2001 (Reuters).

Nova Scotia Location Makes Good Business Sense: Business Services employment in the Halifax Region, fueled by solid
performance in the management and computer consulting services sector has doubled during the past ten years. This growth
has encouraged numerous other high tech companies to either start new ventures or expand existing operations. Nova Scotia
universities and community colleges have been supporting this growth with graduates from their computer studies programs,
several of whom are currently playing an important role in ongoing product development and customer activities at Oriole's
Toronto head office. From Oriole's perspective, the Nova Scotia location will not only be a major step in fulfilling planned
‘National Company' objectives, but its proximity to their US Office in New Hampshire will facilitate marketing synergy.
