Mark, I may not have to vote but I have the right to vote, and I plan on exercising that right.

I think whether to support Proposal 3 is a legitimate question. Hopefully the question will be moot long before the floorless conversion can take effect at the end of July (e.g. the stock price will be well above $6).

But in the event it is not and the floorless conversion may be an issue, I don't see the harm in trying to determine whether "conversion at a premium" is preferable to a floorless variable rate conversion.

Does anybody have a good argument for voting YES?
