*AV* PRGS

I do not want to challenge anyone on this thread but a piece of inforamtion shared here has me perturbed. If MSFT and PRGS are fighting over the purchase price, $26 vs $30 and it is believed a middle road of $ 28 will be reached, why is PRGS down as low as it is unless there is a greater probability that the deal is not going through at all. If it is down to haggling and agreeing on price, PRGS should be at least $24 per share. Where is the flaw in my logic?
