I think Jimmy can sell the minutes or he would not have taken the deal. I calculate it to be worth $480,000 the first year assuming 3 mos at 1 mil minutes per and then 9 mos at 5 mil per month and all times $0.01. For this Jimmy gives away 320,000 shs( 480 Divided by 1.5) but he is operational and has cash flow.

Also, you have to think that at some point these minutes will run over the DGIV network and that means even more money to DGIV. I think he made a good deal.

Next step must be to find a broker to whom the minutes can be sold. The $0.01 per minute is obviously DGIV's cut off the spread. But to get a piece of the spread Jimmy had to give away a few options based on the formula of 1 year's revenue divided by 1.50. As I understand it.

After all, as DGIV rises, Alan wants to make money on it too.
