Whoa! It's not as though this was an unfriendly takeover, was it. Still, I agree with your culture difference can be a big problem premise. So, have LU and ASND done much in the area of joint development or alliance work in the past? Mergers have a far better chance of working if troops, many troops at all levels, from the companies have rolled up their sleeves and worked together on key, major projects, over a considerable period of time (years).

Your T, NCR failure is a good example. How about IBM and Rolm, or IBM and Lotus?
