Microforum Inc. has entered into a preliminary non-binding letter of intent to acquire Software Guaranty Inc., an e-commerce and Internet technology company. The company is not aware of any other reason to account for the recent increase in trading volume of its shares. The preliminary letter of intent is subject to a number of conditions including adequate financing, completion of due diligence, entering into definitive documentation, and receipt of regulatory and director approval.
