TORONTO (Dow Jones)--Microforum Inc. (T.MCF) said it has entered into a
preliminary non-binding letter of intent to acquire Software Guaranty Inc., a
Toronto E-commerce and Internet technology company.
Terms of the proposed acquisition weren't disclosed.
The company said the preliminary agreement is subject to adequate financing,
completion of due diligence, definitive documentation, and receipt of
regulatory and director approval.
Microforum said it's not aware of any other reason to account for the recent
increase in trading volume of its common shares. Microforum shares closed
Tuesday on the Toronto Stock Exchange up 0.33 at 2.35 on volume of about 5.5
million shares.
Microforum is an Internet-based marketing and communications solution
provider.
