The conversion date is important. Is March xx (150 days from Oct. xx) the conversion date? If I understand you correctly, the pre conversion drive down would happen days before the conversion. This gives us (long on SYCR) at least until the end if Feb. to evaluate the Reg S situation. The 1.4 Mill may or may not be part of the float, but keeping it on hand to sell during the pre conversion drive down would not be a bad idea.

Check my logic.

1) If a stock with 16 mill outstanding becomes worth $12, the same stock with 24 mill outstanding shares is worth $8.

2) It is somewhat safe to hold and evaluate this stock until Feb. without fear of Reg S.

3) With or without Reg S concerns, $3 or less for an $8 or $12 stock is not a bad price.

4) All above logic is based on information on this thread. It is only as valid as the assumptions it is based upon.
