<<PSFT will receive an exclusive option to license any products and technology developed by MMTM and the right>>

There is your right of first refusal. I appreciate that, thanks.

<<If PSFT does not choose to license a product developed under the development agreement,MMTM will have to develop other ways of commercially exploiting that product as MMTM currently has no marketing capabilities. If MMTM decides to market a product itself or through a third party, PSFT may not approve MMTM's use of available funds for marketing the product. MMTM may not have sufficient resources to fund any such marketing effort.">>

Standard language that gives PSFT control. PSFT want to ensure that they are not going to market the software through a direct competitor...This doesn't preclude MMTM from gaining PSFT approval and marketing the software through other sources. What does PSFT have to lose here? E-commerce is a different business, with a much larger customer base than ERP software. There is plenty of wiggle room in that paragraph.
