Zeev:
Stock splits do not automatically increase the authorized number of shares - only the number outstanding.
If a corp has 100 million shares authorized and 75 million outstanding, they cannot legally do a 2:1 split without first increasing the number of shares authorized (which is done by amending the certificate of incorporation).
