There is upside potential to the final price. If WLA shares average above $74 for the last 10 days before the close of the deal, the price will be higher than $60. I assume it would then be .8108 times the share price. Looks like WLA shareholders like the deal. The stock price of the acquirer usually goes down at times like this.

They didn't set a date, but sooner than 3 months. As soon as possible, pending shareholder approval and standard antitrust issues.

It sounds like there is a lot of mutual respect between the two sides and much admiration from Warner Lambert and Parke Davis for Agouron and it's world class science (their words.)
