FRANKLIN ACQUIRES MALIBU INTERNET SERVICES

Westlake Village, CA.> Franklin Telecom announced today that it has struck an
agreement to acquire Malibu Internet Services. This is significant because of Malibu
Internet's success in advanced Web page authoring and Web page development, which
will now be available to Franklin Internet, as well as to the several POPs to which
Franklin is partnered. Franklin will absorb the employees of Malibu Internet.

According to Franklin president Frank Peters, "With the on-going Internet explosion, the
demand for Web pages which are creative, attractive and tailored to meet exact
specifications of both individuals and corporate identities is expanding rapidly. We are
seeing the beginning of a revolution in the way we can conduct business. Well designed
Web pages allow constantly updated information on product lines and services which
can be under the control of our customers, not like the photographer who takes your
favorite picture but won't give you the negative. Our customers can have us develop
secure credit card information required so the user can place an order directly over the
Internet. All of this, however, depends on the effectiveness and efficiency of the Web
page design. We are very pleased that with this new acquisition, Franklin can offer our
customers and business partners ready access to high quality Web page design and
development which will give them a professional edge in today's marketplace."

Paul Sper, President & CEO of Malibu Internet said, "We are extremely pleased with our
merger with Franklin Telecom. The opportunities this venture presents are mutually
beneficial. Our web authoring and graphics skills combined with Franklin's aggressive
expansion into the Internet marketplace make for an exciting future. Our mission will be
to understand our customers' needs, values and goals. If we serve our clients with
creativity and confidence we will continue to surpass the competition."

Peters concluded, "This latest acquisition is part of our overall strategy to identify talents,
services and products which will enhance and simplify the Internet capabilities we
provide to our customers, particularly in the business arena where we will soon be
offering Voice, Audio & Internet Telephone capabilities in conjunction with our partners
DCI & American Cash Card Corp. "
