They are state of the art protections for a buyer of a public company. General rule is a breakup fee of no more than 2.5% of the total valuation. The option on 19.9% is a bit more controversial and could concievably be thrown our by a court, but you would need a very motivated third party bidder. Very unkikely since Dupont blinked at the price WLA is paying. this a very good deal for everyone and will be a steal for WLA if Remune surprises.
For those of us with large short term gains in the stock, the tax free nature of the deal is appreciated
