I think it is straight forward .50855 of new share for each JDS share you own, whether you opt for nasdaq traded or TSE traded share. Don't forget there are more JDS shares outstanding then UNPH so at to-day's closing prices each has similar capitalization. So there does not seem to be premium to either one. This looks like merger of about equals. FWIW. Not that it matters to me since I don't own any.

Of course, I could be completely off.
