If you want to research Reg-S offerings, make sure and use the words "death spiral" in your search of the business publications. That seems to be the common soundbyte that the publications use. You can read whole articles on "convertible offerings" and not know they are talking about Reg-S. BTW I have to learn a little more about these deals myself. Some of them are offshore and I never figured out why (not this one though, obviously). Michelle
