Hmmm, I'm thinking... Do they participate in future earnings if they spin it off? I was thinking that they would participate if they held shares but since they would only be spinning part of it off, I guess they would have an equity interest in any event and still benefit from future profits.

Sooo... does that mean there is no difference except that by doing an IPO they let the market set the value which is much more likely to bring full value than holding the shares on the books?
