I guess if they spun off 20% to shareholders, and kept 80%, it would benefit TD financially, so long as Waterhouse stock rose.

And don't get me wrong, as a TD stockholder I am all in favor of a spin off of Waterhouse shares to us. I think it would help the TD shareholder unlock the potential of Waterhouse as an internet broker. I am just thinking that TD itself might not be motivated to spinn off 100% of Waterhouse to TD shareholders. Though a partial spin off might make some sense to them, and also benefit TD stockholders.

Article in the WSJ today indicates that in the latest reporting period (4th Q), that Waterhouse has taken over the #2 spot as internet broker, behind only Schwab, whose % market share fell a little. So Waterhouse internet business is growing faster than Schwab's, and especially faster that E-Trade's (who they just overtook to take the #2 position!) Maybe something will come of this spin off idea after all!
