Omni Resources faces a court challenge to its annual meeting last fall from major
shareholder Trumpeter Gold, which seeks to overthrow half of Omni's board. In a
petition filed Tuesday in the Supreme Court of British Columbia, Trumpeter seeks
a court order setting aside a ruling at the Oct. 22, 1998, annual meeting, which
disallowed the votes cast by Trumpeter, which is the beneficial owner of six million
Omni shares. The petition notes that Trumpeter authorized Stuart Morrow to vote
its shares, and Omni president Jon Bergvinson accepted Mr. Morrow's
credentials at the meeting. At the meeting, Omni fielded a management slate of six
directors, while Trumpeter fielded a dissident slate of three directors.
The petition notes that only after all the ballots had been tendered and tabulated,
Mr. Bergvinson decided to disallow the Trumpeter votes cast by Mr. Morrow.
Trumpeter claims that had its six million shares been counted, its three dissident
nominees would have been elected to Omni's board, bumping three of Omni's
six-person slate.
