Lets say you are Anditel and you have a corner on the Columbian Telefony and Internet business. More than you can handle really. You would like to expand and dollars are tapped out from the govt. and company resources but you need it. Where do you go? America of course. Now, you already have a great contact in Florida in the name of GTCC. They have some products you are using and need for further growth. But they have an agreement to be owned (80%) by this company that has never done much. Pharmaceutical sale here and there and some long distance promise in Africa and such.

Hey wait a minute. What better way to get dollars than to take advantage of the internet boom in the States. No way to do it, you say. What about that ADGI? Clean shell with no debt to speak of. Reports to the SEC on time. Only problem is they have a looootttt of shares out. What if you buy them out for the shell.

You automatically get exposure to American investors. American investors who are hungry for any internet investment they can find. Voila, you have expansion money.

You don't really care about the Pharmaceutical sales. Let the Doc run that part of the business and its all gravy. But you need the shell.

So what do you do? Get ADGI and GTCC to merge. Go through an investment banker. Work the deal and before you know it.......
Oh and by the way Innomedia is tied into GTCC pretty tightly. The Doc may just turn out to be a genious after all.

Oh well, guess I'd better wake up now and get to the SuperBowl party.
